These Terms of Service (the "Terms") are a legal agreement between you ("you", "your" or the "User") and LIVINITY LTD, a company incorporated in the Republic of Cyprus under company registration number HE 488309, with its registered office at Efesou 9, Paralimni, 5280, Famagusta, Cyprus ("Livinity", "we", "us" or "our").

Any actual Engagement is governed exclusively by a separate written agreement: such as a proposal, master services agreement or statement of work ("SOW"), signed or otherwise expressly accepted by both parties. That agreement sets out the scope, deliverables, fees, timelines, intellectual property assignment, warranties and other commercial terms of the work.
Where there is any conflict between these Terms and the terms of a signed Engagement agreement, the Engagement agreement prevails in respect of that Engagement. No contract for Services is formed merely by your use of the Website or by submitting an enquiry through it.
All Intellectual Property Rights in the Website and its Content, including the Livinity name, logo, wordmark, brand, design system, copy, graphics and underlying code, are owned by or licensed to LIVINITY LTD and are protected by Cypriot, EU and international law. All rights not expressly granted to you are reserved.
You may view, download and print pages from the Website for your own personal or internal business reference, provided you do not remove or alter any copyright, trade mark or other proprietary notices. Except as expressly permitted, you must not copy, reproduce, republish, distribute, sell, licence, modify, frame, scrape or create derivative works from any part of the Website without our prior written consent.
Ownership of deliverables produced during an Engagement, including whether and when Intellectual Property Rights transfer to you, is dealt with separately in the applicable Engagement agreement, not by these Terms.

Our liability in respect of any Engagement is governed instead by the applicable Engagement agreement. Because the Website is provided free of charge and for information only, our total aggregate liability arising from your use of the Website is limited to the maximum extent permitted by law.
You agree to indemnify, defend and hold harmless LIVINITY LTD, together with its directors, officers and personnel, from and against any claims, liabilities, damages, losses and reasonable expenses (including reasonable legal fees) arising out of or in connection with:

You and LIVINITY LTD agree that the courts of the Republic of Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Website, save that we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country where mandatory law so requires.
We may revise these Terms from time to time to reflect changes in our Services, our practices, or the law. The version in force is the one published on this page, and the "Last updated" date at the top indicates when it was most recently changed.
